to form
companies in Italy, providing

advice to form limited liability companies S.R.L. a joint stock
company, but you can also ask to form companies limited by shares
(s.p.a.) or other limited partnerships. If
you intend to run a general commercial company, buying / selling
goods or services, then you will be forming a limited liability
company SRL.

The
Società a Responsabilità Limitata (S.R.L.) is one of the
types of limited liability corporate structures that can be formed
in Italy, and is the most common limited liability
structure being a company not listed on the stock exchange, easy to
form and not requiring a large amount of capital for start-up.

The minimum registered capital is € 10.000,00 and even one
shareholder is sufficient at the time of the incorporation of the
company.

Considering tax and legal implication related to company purpose and
characteristics, our chartered accountants will prepare the
structure of the company Charter and contact a notary fixing the
date of the forming act (the foundation of a company in Italy must
be done with a notary public act).

At the moment of the
company formation act the shareholders must have deposited in an italian bank at least the
25% of the capital. In case of one shareholder, the deposit must be
the 100%.

|
All
shareholders must take part at the foundation with a valid document
to be shown to the notary.
|
|
After having signed the
act, the notary
will register the company at the Italian Register of Companies.
The
Chartered Accountant will register the company at the Italian VAT
office. It takes about 15 days to start-up a new S.R.L.
company.
